General Terms & Conditions

Current Terms & Conditions

Last updated: 30 October 2026

1. Introduction

These General Terms & Conditions ("Terms") govern access to and use of the Flyerio website, digital platform, and related services.

Flyerio is a digital marketplace designed to connect three user groups:

  • Customers: Individuals or companies looking to arrange private charter flights.
  • Brokers: Professional charter brokers sourcing aircraft and arranging flights on behalf of their clients.
  • Operators: Independent aircraft operators offering charter services through the platform.

Flyerio provides the digital infrastructure through which these parties can discover aircraft, submit charter enquiries, communicate, exchange information, and coordinate potential bookings.

Flyerio does not own, operate, lease, rent, manage, or provide any aircraft or flight services. This includes private jets, regional aircraft, turboprops, helicopters, and any other type of aircraft.

All flights are operated by independent aircraft operators under their own operational control and responsibility.

By accessing or using Flyerio, creating an account, submitting an enquiry, or using the platform's booking functionality, you agree to these Terms and any additional terms applicable to your account or a specific booking.

If you do not agree to these Terms, you must not use the platform.

2. Definitions

For the purposes of these Terms:

Flyerio: The digital marketplace and related services provided under the Flyerio brand by the legal entity identified in Section 28.

Platform: The Flyerio website, application, software, and associated digital services.

Customer: An individual or legal entity using Flyerio to search for or arrange private charter flights for itself or others.

Broker: A professional charter broker using Flyerio to source aircraft and coordinate charter enquiries or bookings on behalf of customers.

Operator: An independent aviation company responsible for operating aircraft and providing flight services.

Aircraft: Any aircraft listed or presented through the platform, including helicopters, turboprops, private jets, and larger fixed-wing aircraft.

Enquiry: A request submitted through Flyerio concerning a potential charter flight.

Booking Request: A request submitted to an operator for acceptance, rejection, or modification.

Confirmed Booking: A booking that has been explicitly accepted and confirmed by the relevant operator through the applicable platform workflow.

Flight Services: The actual air transportation services provided by the independent operator.

Operator Terms: The specific terms, conditions, operational requirements, pricing conditions, and cancellation policies established by the operator for a particular flight.

Platform Services: The digital marketplace, software, communication tools, and related functionality provided by Flyerio.

3. Flyerio's Role as a Digital Marketplace

3.1. Flyerio operates exclusively as a digital marketplace and technology platform.

3.2. Flyerio facilitates connections between customers, brokers, and independent aircraft operators. It provides tools that allow users to discover aircraft, submit enquiries, exchange information, communicate, and coordinate potential bookings.

3.3. Flyerio is not an aircraft operator, air carrier, charter provider, aviation agent acting as the operator, or provider of air transportation services.

3.4. Flyerio does not:

  • Own, lease, rent, or operate aircraft.
  • Employ or provide flight crews.
  • Exercise operational control over any flight.
  • Determine whether a particular flight can legally or safely be performed.
  • Issue flight permits or operational approvals.
  • Guarantee aircraft availability.
  • Guarantee that an operator will accept or perform a booking.
  • Guarantee that a requested route, airport, or landing location can be used.

3.5. The operator remains solely responsible for the actual flight service, including aircraft, crew, operational control, flight safety, regulatory compliance, insurance, permits, and performance of the flight.

3.6. Any contract for the actual flight service is entered into between the relevant operator and the customer or broker, as applicable, once the booking has been accepted and confirmed in accordance with the booking process.

3.7. Flyerio is not a party to the flight-service contract merely because the booking was initiated, communicated, or facilitated through the platform. Flyerio remains responsible for its own Platform Services and obligations under these Terms and applicable law.

4. Accounts and User Eligibility

4.1. Flyerio offers different account types for customers, professional brokers, and aircraft operators.

4.2. Users must provide accurate, complete, and current information when registering and using the platform.

4.3. Users are responsible for:

  • Maintaining the confidentiality of their login credentials.
  • Keeping their account information up to date.
  • Ensuring that individuals using an account are authorised to do so.
  • All activities performed through their account, subject to applicable law.
  • Notifying Flyerio of suspected unauthorised account access.

4.4. Broker accounts are intended for professional charter brokers and may be subject to verification and approval.

4.5. Operator accounts are subject to the verification and documentation requirements described in Section 5.

4.6. Flyerio reserves the right to reject, restrict, suspend, or terminate an account where there are reasonable grounds to suspect false information, misuse, fraudulent activity, regulatory concerns, or a breach of these Terms.

5. Operator Registration and Verification

5.1. Aircraft operators wishing to list aircraft on Flyerio must complete the applicable registration and verification process.

5.2. As part of this process, Flyerio may request and review selected documentation, which may include:

  • Company registration information.
  • Air Operator Certificate (AOC), where applicable.
  • Aircraft registration and relevant aircraft documentation.
  • Aviation insurance documentation.
  • Operational approvals and permissions.
  • Other documentation considered relevant to the operator or its intended operations.

5.3. The extent and nature of the documentation review may vary depending on the operator, the type of operation, the aircraft, and the applicable jurisdiction.

5.4. Flyerio conducts screening of operators and selected documentation before allowing aircraft to be listed as active on the platform.

5.5. Operator screening is not a certification, regulatory approval, or guarantee of ongoing compliance. Flyerio does not guarantee that every operator is compliant with every applicable aviation, safety, insurance, or regulatory requirement at all times.

5.6. Operators remain solely responsible for maintaining valid certificates, insurance, permits, aircraft documentation, and all other requirements applicable to their operations.

5.7. Flyerio may request updated documentation, suspend aircraft listings, or restrict an operator's account where documentation expires, becomes invalid, or raises reasonable compliance concerns.

5.8. An operator's presence on Flyerio must not be interpreted as a guarantee or endorsement of the safety, quality, reliability, or suitability of any particular flight.

6. Aircraft Listings and Operator Responsibilities

6.1. Operators are responsible for the accuracy and completeness of all information they submit or publish through Flyerio.

6.2. This includes, without limitation:

  • Aircraft type and model.
  • Registration and aircraft specifications.
  • Passenger capacity and payload information.
  • Aircraft availability.
  • Base locations.
  • Pricing and pricing policies.
  • Airport and geographical policies.
  • Additional services and fees.
  • Operational restrictions.
  • Relevant certificates and documentation.

6.3. Operators must promptly update information that becomes inaccurate, outdated, or no longer applicable.

6.4. Flyerio does not independently verify every technical specification, price, availability entry, or operational statement submitted by an operator.

6.5. Operators remain responsible for ensuring that their aircraft listings and commercial information are accurate and do not mislead customers or brokers.

6.6. Flyerio may remove, correct, restrict, or suspend listings where information appears inaccurate, incomplete, misleading, or inconsistent with platform requirements.

7. Pricing and Automated Calculations

7.1. Flyerio provides pricing functionality intended to help customers and brokers obtain indicative charter pricing based on information and commercial settings available through the platform.

7.2. Flyerio endeavours to make its pricing calculations as accurate and useful as reasonably possible. However, displayed prices may be based on estimated flight times, route calculations, aircraft information, operator-defined policies, airport data, fuel assumptions, and other inputs.

7.3. A displayed price is not necessarily a final or unconditional offer by the operator.

7.4. All indicative prices and booking amounts remain subject to the relevant operator's review and approval before a booking is finally confirmed.

7.5. The operator may review, approve, decline, or propose modifications to a requested flight or its price.

7.6. A final price may differ from an initial displayed estimate due to, for example:

  • Changes in the requested itinerary.
  • Flight time or distance adjustments.
  • Aircraft availability.
  • Airport, landing, handling, or parking charges.
  • Fuel price changes or fuel-related charges.
  • De-icing or anti-icing requirements.
  • Repositioning or additional flight segments.
  • Permits, taxes, duties, and other government charges.
  • Operational restrictions or requirements.
  • Other additional services or expenses.

7.7. Where the operator proposes a material price change, the revised price and relevant conditions must be presented for acceptance before the booking is treated as confirmed, subject to applicable law.

7.8. Flyerio is not responsible for independently determining or guaranteeing the final commercial price established by an operator. However, this does not exclude responsibility for Flyerio's own platform functionality or any obligations that cannot legally be excluded.

7.9. Users should review the operator's final quotation, applicable taxes, included services, exclusions, and additional charges before accepting a booking.

8. Route Calculations and Off-Airport Landings

8.1. Flyerio may provide route planning, geographical calculations, estimated pricing, and the ability to select potential landing locations outside conventional airports.

8.2. Such functionality is intended to assist with route planning and indicative pricing. The display of a potential landing location does not mean that a landing is legally permitted, operationally feasible, safe, or approved.

8.3. Flyerio does not grant or obtain permission for off-airport landings.

8.4. The operator is solely responsible for:

  • Assessing the suitability of a proposed landing location.
  • Checking terrain, obstacles, access, and site conditions.
  • Verifying applicable aviation and local requirements.
  • Obtaining landowner consent and any required permits or permissions.
  • Assessing weather and operational suitability.
  • Determining whether the aircraft and crew can safely perform the proposed operation.

8.5. An operator may approve, decline, or modify a proposed route or landing location at its discretion, taking into account operational, legal, safety, and commercial considerations.

8.6. Customers and brokers acknowledge that routes and landing locations shown in Flyerio are subject to operator review and approval.

8.7. No flight should be considered authorised or confirmed solely because a route or landing location can be selected or displayed in Flyerio.

9. Enquiries, Booking Requests, and Operator Confirmation

9.1. Submitting a charter enquiry or booking request through Flyerio does not, by itself, create a confirmed flight booking.

9.2. Booking requests are transmitted to the relevant operator for review.

9.3. The operator may:

  • Accept the request.
  • Decline the request.
  • Request additional information.
  • Propose a different aircraft.
  • Modify the route, schedule, landing locations, or other flight details.
  • Propose a revised price or additional conditions.

9.4. A booking becomes confirmed only when the operator has explicitly accepted it through the applicable booking process and the required booking conditions have been satisfied.

9.5. Before confirmation, the operator remains free to decline or modify the request, subject to any specific commitments already made and applicable law.

9.6. Once a booking is confirmed, the relevant customer or broker and operator enter into a separate flight-service contract governed by the operator's applicable terms, the booking-specific conditions, and any other terms expressly accepted by the parties.

9.7. The identity of the operator, the relevant flight details, the applicable price, and the booking-specific conditions should be made available to the customer or broker before final acceptance.

9.8. Flyerio provides the digital environment through which the booking process is coordinated but does not assume the operator's obligations under the flight-service contract.

10. Operator Terms and Booking-Specific Conditions

10.1. Each operator may establish its own terms and conditions, operational requirements, pricing conditions, and cancellation policies.

10.2. These may differ between operators and between individual bookings.

10.3. Before accepting a booking, customers and brokers are responsible for reviewing:

  • The operator's terms and conditions.
  • The applicable cancellation policy.
  • The confirmed flight itinerary.
  • The final price and included services.
  • Applicable taxes and charges.
  • Any additional expenses or exclusions.
  • Passenger, baggage, documentation, and other operational requirements.

10.4. By electronically accepting the booking and its applicable terms through Flyerio, the customer or broker acknowledges acceptance of the operator's booking-specific conditions and cancellation policy.

10.5. Where the booking process provides for acceptance by both parties, the operator's confirmation and the customer's or broker's acceptance will form the basis of the separate flight-service contract between them.

10.6. The operator is responsible for the content, accuracy, and application of its own terms and cancellation policy.

10.7. Flyerio provides the technical means to display and communicate these conditions. Flyerio does not independently negotiate or determine the operator's commercial cancellation rules.

10.8. Mandatory rights under applicable consumer protection and other laws remain unaffected.

11. Cancellations and Changes

11.1. Once a booking has been confirmed, cancellation and amendment conditions are governed primarily by the applicable operator terms and booking-specific conditions.

11.2. Operators may establish cancellation policies specifying the amount refundable depending on when a cancellation occurs.

11.3. For example, an operator may specify different refund percentages for cancellations made less than 48 hours or 24 hours before departure. Such percentages and deadlines must be clearly presented in the applicable booking conditions before acceptance.

11.4. Flyerio does not set the operator's cancellation policy. The operator is responsible for establishing and communicating its cancellation conditions.

11.5. Customers and brokers must review the applicable cancellation policy before accepting a booking.

11.6. Subject to applicable law and the booking-specific conditions, customer- or broker-initiated cancellations may result in partial or no refund where this is clearly stated in the accepted operator cancellation policy.

11.7. An operator may need to cancel, delay, interrupt, or modify a flight due to circumstances including, but not limited to:

  • Adverse weather.
  • Aircraft technical issues.
  • Crew availability or duty limitations.
  • Operational restrictions.
  • Airport or landing-site restrictions.
  • Safety concerns.
  • Regulatory or governmental restrictions.
  • War, conflict, civil unrest, or security concerns.
  • Force majeure events.
  • Other circumstances affecting the lawful or safe operation of the flight.

11.8. The operator is responsible for communicating operational changes and cancellations to the customer or broker.

11.9. Where an operator cancels a confirmed booking and the flight is not performed, the customer or broker shall be entitled to a full refund of the amounts paid for that booking through the applicable booking payment process, subject to mandatory legal rights. This does not automatically cover separate costs or services contracted and paid for directly to third parties outside Flyerio.

11.10. Any alternative aircraft, replacement itinerary, or rescheduled flight must be agreed upon by the relevant parties. Additional charges must be communicated and accepted before they are imposed, subject to applicable law.

11.11. Flyerio may assist with communications and coordination but does not control the operator's aircraft, crew, operational decisions, or ability to perform a flight.

12. Additional Expenses, Taxes, and Third-Party Charges

12.1. A displayed or accepted flight price may exclude certain expenses where these are expressly identified in the applicable quotation or operator terms.

12.2. Depending on the flight and operator conditions, additional expenses may include:

  • Airport landing fees.
  • Handling and ground service charges.
  • Parking and hangar fees.
  • De-icing or anti-icing.
  • Fuel surcharges.
  • Additional flight time.
  • Repositioning.
  • Permits and authorisations.
  • Catering and other requested services.
  • Passenger, baggage, or special handling charges.
  • Applicable taxes, duties, and governmental charges.
  • Other operational or third-party expenses.

12.3. Operators are responsible for identifying and communicating foreseeable additional costs and explaining which costs are included or excluded from their quotations.

12.4. Flyerio encourages operators to communicate foreseeable additional expenses to the customer or broker before the flight takes place.

12.5. Where an operator's terms allow additional expenses to be invoiced separately, the operator should issue the relevant invoice directly to the customer or broker, as applicable, outside Flyerio.

12.6. In such cases, the separate invoice and payment arrangement are between the operator and the relevant customer or broker. Flyerio does not collect, process, guarantee, or settle such direct payments.

12.7. Flyerio is not responsible for the collection, invoicing, accuracy, or settlement of separate charges imposed directly by operators or third-party service providers, except to the extent liability cannot lawfully be excluded.

12.8. Operators remain responsible for ensuring that taxes and additional charges are correctly determined, disclosed, invoiced, and collected where applicable.

13. Payments and Future Payment Functionality

13.1. At the time of publication of these Terms, Flyerio does not provide or operate an active payment processing service for charter bookings.

13.2. Unless a specific payment functionality is expressly made available through the platform, payments for flight services are arranged directly between the relevant operator and customer or broker, according to their separate agreement.

13.3. Flyerio does not currently collect, hold, reserve, transfer, or refund funds for charter bookings through an integrated platform payment service.

13.4. Flyerio may introduce payment-related functionality in the future. If such functionality is introduced, the applicable payment terms will be displayed before users are required to use or accept that functionality.

13.5. Any future payment process may include an initial payment authorisation or reservation of funds to verify the availability of funds before a booking request is submitted to an operator. An authorisation or reservation is not necessarily a completed charge.

13.6. If future payment functionality is activated, the platform will explain when an amount is authorised, when it is captured, how operator approval affects the transaction, and how refunds are processed.

13.7. No user should rely on the future payment provisions in this Section as evidence that a payment or refund service is currently available.

14. Disputes and Customer Support

14.1. Users who experience an issue relating to a booking, operator, customer, broker, or platform interaction should submit a support ticket through the Flyerio Dashboard under the Support section.

14.2. Flyerio will use reasonable efforts to review reported issues and assist the parties in reaching a practical resolution where possible.

14.3. Where a dispute concerns the performance, cancellation, price, operational execution, or additional charges of a flight, the relevant operator remains responsible for its obligations under the flight-service contract.

14.4. Flyerio may review relevant platform records, booking information, and communications to understand the circumstances and assist the parties.

14.5. Flyerio will assess disputes in accordance with these Terms, the applicable platform rules, the accepted booking-specific conditions, and applicable law.

14.6. Flyerio may facilitate communication, request further information, and provide its assessment of the platform records. However, unless expressly agreed otherwise or required by law, Flyerio does not act as a court, arbitrator, or substitute for the operator's contractual obligations.

14.7. A support ticket or assistance from Flyerio does not waive any legal rights that a customer, broker, or operator may have against another party.

14.8. Users remain free to pursue their legal rights through the appropriate dispute resolution or judicial process.

15. Communications Through the Flyerio Platform

15.1. Flyerio provides an integrated communication system intended to keep relevant booking-related conversations and information organised.

15.2. Users are expected to use the Flyerio conversation system for communications relating to enquiries, quotations, booking requests, booking changes, cancellations, and other platform transactions.

15.3. Where users want Flyerio to be able to review and assist with a potential dispute, relevant communications must be kept within the Flyerio communication system wherever reasonably possible.

15.4. Communications made outside the platform may not be visible to Flyerio. Flyerio may therefore be unable to verify or assess statements, agreements, or arrangements made through external channels.

15.5. Users are encouraged to keep external communications to a minimum where those communications concern a transaction initiated through Flyerio.

15.6. Users should not use external communication channels to avoid platform rules, conceal booking arrangements, circumvent applicable fees, or misappropriate business opportunities introduced through Flyerio.

16. Non-Circumvention and Platform Misuse

16.1. Flyerio provides its marketplace and software tools to facilitate commercial relationships between customers, brokers, and operators.

16.2. Users must not deliberately use Flyerio to identify, source, or establish contact with another platform participant and subsequently move the same transaction outside the platform for the purpose of avoiding applicable Flyerio fees, commissions, or commercial arrangements.

16.3. Prohibited conduct includes, without limitation:

  • Using Flyerio to source an aircraft or identify an operator and then deliberately arranging the same flight directly to avoid applicable platform charges.
  • Encouraging another user to move a booking outside Flyerio to avoid applicable commercial terms.
  • Concealing or misrepresenting a transaction that originated through the platform.
  • Using platform information or contacts to systematically circumvent Flyerio's commercial model.
  • Creating duplicate or alternative accounts to avoid platform fees or restrictions.

16.4. This restriction applies to customers, brokers, and operators.

16.5. Flyerio may investigate suspected circumvention using relevant platform records and communications.

16.6. Where Flyerio has reasonable grounds to conclude that a user has deliberately circumvented these Terms, it may take proportionate action, including:

  • Issuing a warning.
  • Restricting relevant platform functionality.
  • Suspending the relevant account.
  • Terminating the relevant account or business relationship.
  • Seeking recovery of unpaid contractual fees or other remedies available under applicable law.

16.7. Serious or deliberate circumvention may result in immediate suspension of the accounts involved, including customer, broker, and operator accounts, where reasonably justified.

16.8. Any suspension or termination will be subject to applicable law and any mandatory rights of the affected users.

16.9. This Section does not prohibit legitimate communications or direct contractual arrangements that are not intended to circumvent Flyerio's applicable commercial terms.

17. Platform Fees and Commercial Terms

17.1. Flyerio currently makes the platform available without a fixed monthly or annual subscription fee for customers, brokers, and operators.

17.2. Flyerio does not charge operators a fixed recurring platform access or per-aircraft listing fee under its general platform model.

17.3. Flyerio's commercial model may include transaction-related fees or commissions incorporated into the pricing or commercial arrangements applicable to a booking.

17.4. The applicable commercial terms may differ depending on the user type, broker membership level, booking, and relevant commercial agreement.

17.5. Any applicable fees or commissions must be communicated through the relevant platform information, booking conditions, or commercial agreement.

17.6. Flyerio reserves the right to introduce or modify commercial models and fees in the future, subject to appropriate notice, acceptance where required, and applicable law.

18. Marketing Website, Content, and Illustrations

18.1. The Flyerio marketing website contains information intended to describe the platform, its functionality, and its general capabilities.

18.2. Certain illustrations, graphics, diagrams, examples, and visual materials are provided for demonstration or explanatory purposes and may not represent actual transactions, operational data, customer activity, or financial performance.

18.3. Screenshots displaying the Flyerio application are taken from the actual Flyerio application and are intended to demonstrate its interface and functionality.

18.4. However, figures, names, revenue amounts, booking volumes, customer information, aircraft activity, and other numerical or illustrative data shown in screenshots may be fictitious, anonymised, or included solely for demonstration purposes.

18.5. Screenshots must not be interpreted as evidence of actual customer bookings, operator revenue, platform performance, or guaranteed results.

18.6. Certain marketing text, illustrations, graphics, or other website content may have been created or assisted using artificial intelligence tools.

18.7. Flyerio endeavours to review published marketing content for accuracy and relevance. Nevertheless, marketing materials are provided for general informational purposes and may contain errors, omissions, outdated information, or illustrative content.

18.8. Product functionality, availability, and features may change during development and as the platform evolves. Users should rely on the functionality and terms actually presented within the platform when using a specific service.

18.9. Nothing in this Section excludes liability for misleading commercial practices or other responsibilities that cannot legally be excluded.

19. Intellectual Property

19.1. The Flyerio name, brand, logos, website design, software, platform structure, and original content are owned by or licensed to the relevant Flyerio legal entity, unless otherwise stated.

19.2. Users may not copy, reproduce, distribute, modify, reverse engineer, or commercially exploit Flyerio intellectual property without prior written permission, except where permitted by applicable law.

19.3. Users retain ownership of content and information they lawfully submit to the platform, subject to the rights and permissions necessary for Flyerio to operate and provide the Platform Services.

19.4. By submitting content, users grant Flyerio a limited, non-exclusive right to host, display, process, and use that content as necessary to operate, maintain, and provide the platform and its relevant functionality.

19.5. Users are responsible for ensuring that they have the rights and permissions necessary to submit any information, photographs, aircraft images, documents, or other materials they upload.

20. Limitation of Liability

20.1. Flyerio provides digital marketplace and software services. Flyerio does not operate aircraft and is not responsible for the actual performance of flight services provided by independent operators.

20.2. To the extent permitted by applicable law, Flyerio shall not be responsible for the operator's:

  • Flight execution or operational decisions.
  • Aircraft condition, maintenance, or technical failures.
  • Crew conduct, qualifications, or availability.
  • Aviation safety and operational control.
  • Insurance arrangements.
  • Permits, certificates, and regulatory approvals.
  • Flight delays, interruptions, cancellations, or diversions.
  • Operator-defined prices, taxes, fees, or additional expenses.
  • Performance or non-performance of the flight-service contract.

20.3. Flyerio does not guarantee that aircraft listings, operator information, indicative pricing, availability information, or third-party data are complete, accurate, or current at all times.

20.4. To the extent permitted by applicable law, Flyerio shall not be liable for losses arising solely from inaccurate or incomplete information supplied by an operator or another third party, provided that the relevant loss is not caused by Flyerio's own breach of its obligations or other conduct for which it is legally responsible.

20.5. Flyerio shall not be liable for indirect or consequential losses, loss of profit, loss of business opportunity, loss of anticipated savings, or loss of goodwill, to the extent such exclusion is permitted by applicable law.

20.6. Flyerio shall not be responsible for interruptions, delays, or failures caused by circumstances outside its reasonable control, including third-party service failures, telecommunications interruptions, cyber incidents, governmental actions, or force majeure events, subject to applicable law.

20.7. Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence where such liability cannot lawfully be excluded.
  • Fraud or fraudulent misrepresentation.
  • Intentional misconduct where liability cannot lawfully be excluded.
  • Flyerio's own breach of mandatory legal obligations.
  • Any other liability that cannot be excluded or limited under applicable law.

20.8. These limitations apply only to the extent legally permitted and must not be interpreted as removing mandatory consumer rights.

21. Indemnification

21.1. Users are responsible for their own conduct and for ensuring that their use of Flyerio complies with these Terms and applicable law.

21.2. To the extent permitted by law, a user may be responsible for direct losses, claims, or reasonable costs incurred by Flyerio as a result of the user's:

  • Material breach of these Terms.
  • Fraudulent or unlawful conduct.
  • Deliberate misuse of the platform.
  • Infringement of third-party intellectual property rights.
  • Submission of information or materials that the user was not authorised to provide.

21.3. No indemnification obligation applies to the extent that the relevant loss was caused by Flyerio's own breach, negligence, or misconduct.

22. Suspension and Termination

22.1. Flyerio may suspend or terminate access to the platform where there are reasonable grounds to believe that a user has:

  • Breached these Terms.
  • Provided false or misleading information.
  • Engaged in fraudulent or unlawful activity.
  • Attempted to circumvent applicable platform fees.
  • Misused platform data or other users' information.
  • Created a security or compliance risk.
  • Failed to meet applicable account or verification requirements.

22.2. Where reasonably possible, Flyerio will inform the affected user of the reason for suspension or termination and provide an opportunity to address the issue.

22.3. Immediate suspension may be necessary where there is a serious security, legal, fraud, safety, or operational concern.

22.4. Suspension or termination does not automatically cancel an existing flight-service contract between an operator and a customer or broker. The relevant parties remain responsible for resolving existing contractual obligations.

22.5. Any termination will be subject to applicable law and mandatory contractual rights.

23. Force Majeure

23.1. Flyerio shall not be responsible for delay or failure to perform its Platform Services to the extent caused by events beyond its reasonable control.

23.2. Such events may include natural disasters, war, terrorism, civil unrest, governmental action, regulatory restrictions, strikes, major infrastructure failures, widespread telecommunications outages, or other events beyond Flyerio's reasonable control.

23.3. This Section concerns Flyerio's own Platform Services. Force majeure events affecting a flight are governed by the relevant operator's flight-service contract and applicable law.

24. Changes to These Terms

24.1. Flyerio may update these Terms from time to time to reflect changes in the platform, its business model, applicable law, or services.

24.2. The latest version will be made available on the Flyerio website with an updated revision date.

24.3. Where changes materially affect users' rights or obligations, Flyerio will provide appropriate notice and obtain acceptance where required by law or the relevant contractual arrangement.

24.4. Changes to these general Terms do not automatically amend the terms of an already confirmed flight-service contract unless the parties agree otherwise or applicable law provides otherwise.

25. Electronic Acceptance and Records

25.1. Users may accept these Terms electronically through the Flyerio website or platform.

25.2. Where the platform requires a user to actively accept these Terms, the user's electronic acceptance will be recorded together with relevant information such as the account, date, time, and version of the Terms, where supported by the platform.

25.3. Electronic acceptance is intended to evidence the user's agreement to these Terms and may have legal effect in accordance with applicable law.

25.4. For an individual booking, the customer or broker must separately accept the applicable booking details and operator-specific conditions where required by the booking process.

25.5. Acceptance of Flyerio's general Terms does not, by itself, create a flight-service contract. The flight-service contract is formed between the relevant operator and customer or broker in accordance with the specific booking confirmation and accepted booking conditions.

26. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.

Any invalid or unenforceable provision shall be interpreted or replaced to the minimum extent necessary to make it valid and enforceable, while preserving its original commercial purpose as far as legally possible.

27. Governing Law and Jurisdiction

These Terms and Conditions, and any non-contractual obligations arising out of or in connection with them, shall be governed by and interpreted in accordance with the laws of Denmark, without regard to its conflict-of-law principles.

Any dispute, controversy or claim arising out of or in connection with these Terms and Conditions, including their formation, interpretation, validity, performance or termination, shall, to the extent legally permitted, be submitted to the competent courts of Denmark.

Where the User is acting as a business, the parties agree that the competent courts of Denmark shall have jurisdiction over disputes arising out of or in connection with these Terms and Conditions, unless otherwise required by mandatory applicable law.

Where the User is acting as a consumer, nothing in this Section shall exclude or restrict any mandatory consumer protection rights or jurisdictional protections available to that consumer under the laws applicable to their country of residence. If mandatory consumer protection legislation provides the consumer with the right to bring proceedings in another jurisdiction, this Section shall not deprive the consumer of that right.

Nothing in these Terms and Conditions shall limit any rights or remedies that cannot legally be excluded or restricted under applicable law.
