Operator Terms & Conditions
Last updated: 30 October 2026
1. Introduction, Purpose and Contractual Structure
These Operator Terms & Conditions ("Operator Terms") establish the general legal framework for Operators that use the Flyerio website, digital platform, and related services.
Every Operator must enter into an individual written Operator Agreement with Flyerio before being onboarded and granted access to the Operator functionality of the platform. The Operator Agreement is the primary contractual document governing the relationship between Flyerio and that Operator. It contains the specific commercial and operational terms applicable to that Operator.
The following principles apply throughout these Operator Terms:
- Every Operator must enter into an individual Operator Agreement with Flyerio.
- The Operator Agreement contains the specific commercial and operational terms applicable to that Operator.
- Terms may vary between Operators depending on their individual agreement.
- Operators must accept and comply with both the applicable Operator Agreement and these Operator Terms.
- Where a specific provision in the Operator Agreement conflicts with these Operator Terms, the Operator Agreement shall prevail in relation to that specific matter.
- Matters not specifically addressed in the Operator Agreement remain governed by these Operator Terms and, where relevant, the general Flyerio Terms & Conditions ("General Terms").
- Nothing in these Operator Terms overrides specific commercial arrangements already agreed in writing between Flyerio and an Operator.
These Operator Terms do not set a commission rate, fee, payment timetable, or other commercial figure. Those matters belong in the Operator Agreement and may differ between Operators.
In these Operator Terms:
- Operator: An independent aircraft operator that seeks to use, or uses, Flyerio to present aircraft and receive booking enquiries.
- Operator Agreement: The individual written agreement between Flyerio and a particular Operator, including any later written amendment that both parties have agreed. It is separate from these Operator Terms.
- Customer: A person or entity that uses Flyerio to search for or request private aviation services.
- Broker: A person or entity that uses Flyerio to source or coordinate aviation arrangements on behalf of customers.
- Platform: The Flyerio website, applications, and related software made available to Operators.
- Booking Request: An enquiry or request submitted through Flyerio for an Operator to consider. A Booking Request is not, by itself, a confirmed flight.
2. Flyerio's Role as a Digital Marketplace
Flyerio is a digital marketplace and technology platform that connects Customers, Brokers, and independent aircraft Operators. Flyerio provides software and digital infrastructure. It does not operate aircraft, provide flight services, employ flight crew, or assume operational control of flights.
The platform allows Operators, subject to the functionality made available and the Operator Agreement, to:
- Create and manage an Operator profile.
- Add and manage aircraft information.
- Upload relevant aircraft and company documentation.
- Configure aircraft availability.
- Manage pricing and pricing policies.
- Receive booking enquiries and requests.
- Accept, reject, or modify booking requests.
- Communicate with Customers and Brokers.
- Manage relevant booking information.
- Configure additional services and other Operator-specific settings.
Operators remain independent businesses and are solely responsible for their aviation operations. The relevant Operator, and not Flyerio, is responsible for the operation of a flight.
Nothing in the Operator Agreement or these Operator Terms creates an employment, partnership, joint venture, agency, or operational relationship between Flyerio and the Operator, except where a specific written agreement expressly establishes otherwise.
Acceptance of these Operator Terms does not replace the Operator Agreement and does not, by itself, grant access to Operator functionality.
3. Operator Registration and Onboarding
3.1. An Operator must provide accurate, current, and complete company and contact information.
3.2. An Operator must enter into an individual Operator Agreement before being fully onboarded and before receiving access to Operator functionality.
3.3. Flyerio may request company registration documents and relevant aviation documentation before activating an Operator profile or an individual aircraft listing.
3.4. The Operator must provide valid air operator certificate (AOC) documentation where applicable. An AOC is not treated as a requirement in every case. Whether it is required depends on the Operator's activities and the applicable rules.
3.5. The Operator must provide relevant insurance documentation, and aircraft registration, ownership, or operating documentation, as applicable to the aircraft and the operations the Operator proposes to offer.
3.6. The Operator must hold and maintain all licences, permissions, approvals, and authorisations required for its business and for the flights it offers.
3.7. The Operator must notify Flyerio of any material change to its regulatory status, insurance, fleet, or operational permissions, including a suspension, expiry, or material restriction.
3.8. Flyerio may review documents before activating an Operator profile or an aircraft listing. That review is an onboarding and platform-verification process only. It is not aviation certification, regulatory approval, or a guarantee of the Operator's ongoing compliance.
3.9. Flyerio may suspend or deactivate an Operator profile or aircraft listing where required documentation is missing, expired, inaccurate, or otherwise insufficient.
3.10. Supplying documents to Flyerio does not transfer the Operator's regulatory duties to Flyerio.
4. Operator Responsibilities and Regulatory Compliance
4.1. The Operator is solely responsible for ensuring that its business and aviation operations comply with all applicable laws and regulations.
4.2. That responsibility includes, where applicable:
- ICAO, EASA, FAA, or other applicable aviation regulations, and national aviation legislation.
- A valid AOC and operating permissions.
- Aircraft airworthiness and registration.
- Insurance requirements.
- Pilot qualifications and crew requirements.
- Flight safety and operational procedures.
- Passenger safety and handling.
- Required permits and authorisations.
- Airport, landing, and handling permissions.
- Applicable consumer, tax, and commercial legislation.
4.3. The Operator must ensure that all information displayed on Flyerio is accurate, current, and not misleading.
4.4. Flyerio does not independently verify every operational detail. Flyerio does not guarantee that an Operator or an aircraft is suitable for a particular flight.
4.5. The Operator must not offer, accept, or perform a flight that it is not permitted and able to operate.
5. Aircraft Listings and Information
5.1. The Operator is responsible for the accuracy and completeness of all information uploaded or displayed through its account.
5.2. That information includes, as applicable:
- Aircraft type and model.
- Aircraft registration.
- Passenger capacity.
- Range and performance information.
- Aircraft equipment and configuration.
- Aircraft photographs.
- Availability information.
- Pricing and pricing policies.
- Additional services and charges.
- Operational restrictions.
- Any other information relevant to Customers or Brokers.
5.3. The Operator must have the rights and permissions needed to upload and use photographs, logos, documents, and other materials it submits.
5.4. The Operator must update a listing when the underlying information changes, including when an aircraft is no longer available to that Operator or a stated restriction no longer matches the aircraft.
5.5. Flyerio may remove, correct, or request an update to information that is inaccurate, misleading, outdated, or otherwise unsuitable for publication. That step is a platform control. It does not make Flyerio the author of the Operator's listing or the operator of the aircraft.
6. Aircraft Availability and Third-Party Integrations
6.1. Flyerio may offer Operators integrations with third-party software and services, including Microsoft Outlook, Google Calendar, and relevant flight-planning or aviation management systems.
6.2. Those integrations may be used to retrieve, synchronise, or display aircraft availability and relevant scheduling information. They are Operator-side tools. They are not a transfer of operational control to Flyerio.
6.3. The Operator is responsible for:
- Authorising the integrations it chooses to use.
- Ensuring that connected information is accurate.
- Maintaining the relevant third-party accounts and permissions.
- Informing Flyerio of changes that affect availability information where the platform does not receive that change through an integration the Operator has authorised.
- Ensuring that displayed availability is suitable for operational planning.
6.4. Availability shown on Flyerio is not a guarantee that an aircraft can perform a particular flight.
6.5. The Operator remains responsible for confirming actual availability and operational feasibility before accepting a booking.
6.6. A third-party service may be unavailable, delayed, or inaccurate. The Operator must not rely on a display alone where a confirmation of availability is required before accepting a flight.
6.7. Further rules for a particular integration may be set out in the Operator Agreement or in the permissions the Operator grants to that service. Those specific rules prevail for that integration where they conflict with this Section.
7. Pricing and Commercial Arrangements
7.1. An Operator may configure aircraft pricing, pricing policies, and additional services through the platform, subject to the functionality Flyerio makes available and to the Operator Agreement.
7.2. Pricing displayed through Flyerio may be indicative until the Operator confirms it.
7.3. The Operator is responsible for ensuring that its pricing information is accurate and not misleading, including what a displayed price includes and what it excludes.
7.4. The Operator may be required to approve, decline, or modify a Booking Request before a price is treated as confirmed.
7.5. Any additional cost or exclusion must be communicated clearly to the Customer or Broker before it is imposed, subject to applicable law and the conditions of the relevant booking.
7.6. Commercial arrangements between Flyerio and the Operator are governed by the Operator Agreement. Commission, platform fees, payment arrangements, and other commercial conditions may vary between Operators.
7.7. These Operator Terms do not publish a fixed commission percentage, a standard fee, or any other commercial figure. A figure of that kind applies only if it is agreed in that Operator's Operator Agreement.
7.8. Nothing in this Section changes a commercial arrangement that Flyerio and the Operator have already agreed in writing.
8. Booking Requests and Acceptance
8.1. The general booking workflow is:
- A Customer or Broker submits a booking enquiry or request through Flyerio.
- The relevant Operator receives the request.
- The Operator reviews availability, operational feasibility, and pricing.
- The Operator may accept, decline, or propose changes to the request.
- A booking becomes confirmed in accordance with the applicable booking process and the relevant agreements between the parties.
8.2. Submitting an enquiry does not automatically create a confirmed flight booking.
8.3. Before confirming a booking, the Operator is responsible for ensuring that it has the necessary aircraft, crew, permissions, and operational capability for that flight.
8.4. The Operator must not confirm a flight that it cannot lawfully and safely operate.
8.5. A confirmed booking does not make Flyerio a party to the flight-service contract, unless a separate written agreement expressly says so.
8.6. The Operator Agreement may set further rules for how requests are received, timed, or accepted. Those rules prevail for that Operator where they specifically regulate the booking process.
9. Flight Operations and Operational Control
9.1. The Operator retains full responsibility for the operation and execution of all flights.
9.2. That responsibility includes:
- Operational control.
- Flight planning.
- Aircraft airworthiness.
- Crew selection and qualifications.
- Flight safety.
- Passenger handling.
- Weather assessments.
- Regulatory compliance.
- Required permits and permissions.
- Decisions to delay, divert, modify, or cancel flights.
9.3. Flyerio does not exercise operational control over flights and does not provide aviation services.
9.4. Any flight contract or agreement relating to the actual flight services is between the relevant Operator and the Customer or other contracting party, as applicable.
9.5. Flyerio acts as the technology platform and marketplace facilitating the interaction between the parties.
9.6. A decision about whether a flight can depart, continue, divert, or be cancelled for operational or safety reasons is the Operator's decision. Flyerio does not make that decision.
10. Additional Charges and Expenses
10.1. Additional expenses may arise in connection with a flight, including:
- Landing fees.
- Airport handling charges.
- Parking fees.
- De-icing and anti-icing.
- Fuel-related charges.
- Repositioning costs.
- Permits and authorisations.
- Catering and additional passenger services.
- Other operational expenses.
10.2. Where such charges are invoiced directly by the Operator, the Operator is responsible for communicating and invoicing those charges to the relevant Customer or Broker.
10.3. The Operator must not present an excluded charge as included, and must not add a charge that the applicable booking conditions do not allow.
10.4. The Operator Agreement may contain further provisions on additional charges and settlement. Those provisions prevail for that Operator where they specifically regulate the charge or the settlement.
10.5. These Operator Terms do not set a settlement timetable and do not create an integrated payment service for additional charges.
11. Cancellations and Changes
11.1. The Operator must comply with the cancellation and change conditions applicable to each booking.
11.2. Those conditions may include:
- Operator cancellation policies.
- Customer cancellation policies.
- Weather-related cancellations.
- Technical or aircraft-related cancellations.
- Crew availability.
- Operational restrictions.
- Regulatory or permit-related issues.
- Force majeure circumstances.
11.3. The Operator must communicate a cancellation or other material change promptly through the available platform communication channels where possible.
11.4. The Operator remains responsible for the operational decision and for the explanation it gives about that decision. Flyerio may pass communications through the platform. It does not take over the flight.
11.5. The Operator Agreement may contain additional obligations relating to cancellations, refunds, compensation, or other commercial consequences. Those obligations apply as agreed with that Operator. These Operator Terms do not create a standard refund or compensation amount.
12. Communication and Customer Handling
12.1. The Operator must communicate professionally and accurately with Customers and Brokers.
12.2. Where possible, booking-related communication should take place through the Flyerio platform so that the relevant booking information and communication history remain accessible.
12.3. The Operator must not misuse customer information, and must not use information obtained through Flyerio for a purpose that is unrelated to a legitimate booking or business activity connected with that information.
12.4. The Operator remains responsible for its own customer service and for flight-related communications, including operational updates that the Operator is in a position to give.
12.5. The Operator must not describe Flyerio as the operator of the flight or as the party with operational control.
13. Non-Circumvention
13.1. The Operator must not deliberately use Flyerio to establish contact with a Customer or Broker and then move that introduced transaction off the platform in order to avoid a commercial obligation or fee agreed with Flyerio.
13.2. This Section applies proportionately to transactions and business relationships introduced through Flyerio.
13.3. It does not prevent legitimate business activities, or pre-existing relationships, that are not subject to an applicable contractual restriction. An Operator may continue business that was not introduced through Flyerio, provided it does not use the platform to avoid an agreed commercial obligation for a transaction that was introduced through Flyerio.
13.4. Any specific non-circumvention obligation, duration, or commercial consequence is governed by the Operator Agreement where the agreement regulates that matter. If the Operator Agreement is silent, this Section applies.
13.5. This Section does not prohibit ordinary operation of a confirmed flight, or a communication that is not intended to avoid an agreed commercial obligation.
14. Confidentiality and Data Protection
14.1. The Operator must protect confidential information it receives through Flyerio, including:
- Customer and passenger information.
- Broker information.
- Commercial arrangements.
- Pricing information.
- Booking details.
- Platform information that is not public.
- Other confidential business information.
14.2. The Operator may use that information to operate its account, assess and perform bookings, and comply with law. It must not use the information for an unrelated purpose.
14.3. The Operator must process personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR) where it applies.
14.4. The Operator is responsible for determining and complying with its own data protection obligations when it processes personal data for flight operations and related services. Flyerio does not control that independent processing.
14.5. The Operator must use personal data obtained through Flyerio only for legitimate and authorised purposes, and only for as long as it has a lawful reason to keep it.
14.6. A duty of confidence does not apply to information that is public through no breach by the Operator, that the Operator already held without a duty of confidence, or that must be disclosed by law. Where the law requires disclosure, the Operator shall give Flyerio prior notice where that notice is legally permitted.
14.7. The Operator Agreement may add confidentiality or data-protection duties. Those duties prevail where they specifically conflict with this Section.
15. Intellectual Property and Platform Usage
15.1. Flyerio retains ownership of its software, platform, design, trademarks, branding, technology, and other intellectual property, unless otherwise agreed in writing.
15.2. The Operator retains ownership of its own company information, aircraft information, logos, photographs, and other materials it provides.
15.3. The Operator grants Flyerio a non-exclusive right to host, display, reproduce, and process those materials as needed to operate, maintain, and promote the platform and the Operator's listings, subject to the Operator Agreement. This right ends when the materials are removed, except for copies kept as reasonably required for backups, security, dispute records, or legal duties.
15.4. The Operator must not copy, reverse engineer, misuse, or attempt to gain unauthorised access to Flyerio's software or systems, except to the extent applicable law does not allow that restriction.
15.5. The Operator must not use Flyerio branding in a way that suggests Flyerio operates the Operator's flights, unless Flyerio has agreed to that use in writing.
16. Suspension and Termination
16.1. Flyerio may suspend, restrict, or deactivate an Operator account, or an individual aircraft listing, where reasonably necessary, including in cases of:
- Breach of the Operator Agreement or of these Operator Terms.
- Expired or missing aviation documentation.
- Invalid or misleading information.
- A regulatory or compliance concern.
- Fraudulent or unlawful activity.
- Misuse of the platform.
- A security concern.
- Failure to meet an applicable contractual obligation.
16.2. Where reasonably possible, Flyerio will tell the Operator the reason and give the Operator an opportunity to address the issue. Immediate suspension may be used where there is a serious safety, security, fraud, legal, or compliance concern.
16.3. The Operator Agreement governs the contractual termination procedure, including any notice period, termination right, and consequence that it specifically sets out.
16.4. Suspension or termination of platform access does not automatically release either party from an outstanding contractual, payment, confidentiality, data-protection, or other obligation that continues after termination.
16.5. Suspension or termination does not by itself cancel a flight-service contract between the Operator and a Customer or Broker. The Operator remains responsible for flights it has agreed to operate, subject to the applicable booking conditions and the law.
16.6. Any suspension or termination is subject to applicable law and to rights that cannot legally be excluded.
17. Liability and Indemnification
17.1. Flyerio is responsible for its own software, platform, and the contractual obligations it has accepted. That responsibility is separate from the Operator's responsibility for aircraft, crew, flight operations, passenger safety, and aviation compliance.
17.2. The Operator is responsible for the accuracy of its listings, for regulatory compliance, and for the performance of the flight services it agrees to provide.
17.3. Customers and Brokers remain responsible for their own actions and for the information they submit. That does not reduce the Operator's duty to review a request before accepting it, or to refuse a flight it cannot properly operate.
17.4. To the extent permitted by applicable law, Flyerio is not liable for the Operator's flight execution, operational decisions, aircraft condition, crew, permits, delays, cancellations, diversions, or the performance of the flight-service contract.
17.5. To the extent permitted by applicable law, Flyerio is not liable for indirect or consequential loss, loss of profit, loss of business opportunity, loss of anticipated savings, or loss of goodwill arising only from use of the platform.
17.6. Nothing in these Operator Terms excludes or limits liability for:
- Death or personal injury caused by negligence, where that liability cannot lawfully be excluded.
- Fraud or fraudulent misrepresentation.
- Intentional misconduct, where that liability cannot lawfully be excluded.
- A breach of a mandatory legal obligation.
- Any other liability that cannot be excluded or limited under applicable law.
17.7. To the extent permitted by law, the Operator is responsible for direct losses, claims, and reasonable costs incurred by Flyerio as a result of the Operator's material breach of these Operator Terms or the Operator Agreement, the Operator's negligence, the Operator's unlawful conduct, or the Operator's failure to comply with an applicable aviation requirement.
17.8. That responsibility does not apply to the extent the loss was caused by Flyerio's own breach, negligence, or misconduct. It is also subject to the Operator Agreement. Where the Operator Agreement specifically regulates liability or indemnification, that agreement prevails for the matters it covers, but it cannot exclude a liability that the law does not allow to be excluded.
17.9. If a provision of this Section is held to go further than the law allows, it applies only to the extent that is permitted.
18. Relationship with the Individual Operator Agreement
18.1. The Operator Agreement is the primary contractual document governing the specific relationship between Flyerio and the Operator.
18.2. It may contain additional or different terms relating to:
- Commercial arrangements.
- Commission and fees.
- Payment and settlement.
- Platform functionality.
- Aircraft listings.
- Operator obligations.
- Availability and integrations.
- Booking processes.
- Customer and Broker relationships.
- Cancellation and liability.
- Contract duration and termination.
- Other agreed conditions.
18.3. Those terms may vary between Operators. One Operator's agreement does not apply to another Operator.
18.4. Where the Operator Agreement conflicts with these Operator Terms, the Operator Agreement prevails in relation to the specific matter.
18.5. These Operator Terms continue to apply to every matter that the Operator Agreement does not specifically regulate.
18.6. The Operator Agreement and these Operator Terms should be interpreted together wherever possible.
18.7. Nothing in these Operator Terms overrides a specific commercial arrangement that Flyerio and the Operator have already agreed in writing.
18.8. These Operator Terms do not state a commission, fee, or payment figure. If a figure applies, it is the figure in that Operator's Operator Agreement, and only for that Operator.
19. Relationship with the General Flyerio Terms & Conditions
19.1. These Operator Terms apply specifically to Operators using Flyerio.
19.2. The General Terms may also apply where they are relevant, particularly to general platform functionality, account security, intellectual property, acceptable use, and other platform-wide matters that these Operator Terms do not specifically regulate.
19.3. Where a matter is specifically regulated by these Operator Terms, those provisions apply to the Operator.
19.4. Where a matter is specifically regulated by the Operator Agreement, the Operator Agreement prevails in accordance with Section 18.
19.5. If a conflict cannot be resolved by reading the documents together, the following order applies to that specific matter:
- The Operator Agreement.
- These Operator Terms.
- The General Terms.
19.6. This order does not displace mandatory law, and it does not change the flight-service contract between the Operator and the Customer or other contracting party.
20. Amendments
20.1. Flyerio may update these Operator Terms from time to time.
20.2. The current version will be published on the Flyerio website with its last-updated date.
20.3. Flyerio will communicate a material change to Operators through an appropriate channel, such as the platform or email.
20.4. A change to these Operator Terms does not, by itself, change an individually negotiated term in an Operator Agreement.
20.5. Changes to individual commercial arrangements must be handled in accordance with the relevant Operator Agreement and applicable law. Flyerio cannot unilaterally change an individually negotiated contractual term unless the Operator Agreement expressly permits that change.
20.6. A change to these Operator Terms does not by itself amend a flight that the Operator has already confirmed.
21. Governing Law and Jurisdiction
21.1. These Operator Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and interpreted in accordance with the laws of Denmark, without regard to its conflict-of-law principles, subject to mandatory applicable law.
21.2. A dispute arising out of or in connection with these Operator Terms shall be submitted to the competent courts of Denmark, unless the Operator Agreement provides otherwise or mandatory law requires another result.
21.3. Nothing in these Operator Terms limits a right or remedy that cannot legally be excluded or restricted.
21.4. If any provision of these Operator Terms is held to be invalid or unenforceable, the remaining provisions continue to the extent the law allows. The affected provision applies only to the extent that is valid.
